Business Transactions & Advice

• Advising and negotiating for Eimco Water Technologies Pty Limited, the Australian arm of GLV Inc. (a company listed on the Toronto Stock Exchange) in respect of a $17.7 million acquisition of shares in AJM Environmental Pty Ltd;
• Advising and negotiating for Adelaide Brighton Limited (an ASX listed company) in respect of a $5.5 million acquisition of a gypsum mining business;
• Advising on and negotiating two significant information technology outsourcing agreements for AGL Energy Limited, with an Indian company, TATA Consultancy Services Limited in respect of a $16 million transaction and separately with a leading international IT vendor in respect of a $58 million transaction;
• Advising and acting in relation to various acquisitions of real property, which recently involved advising on tenders for separate acquisitions in the order of $88 million and $30 million and the acquisition of an $11 million shopping centre;
• Overseas licensing of technology for design, build and construct of clean coal technology plants for GTL Energy Limited (a large unlisted public company);
• Advising and negotiating in relation to the commercialisation of intellectual property through agreements with one of the largest printers in North America;
• Negotiating and advising Beach Petroleum Limited (an ASX listed company) in respect of a consortium co-operation agreement and related drilling charter hire agreements to a value in the order of $30 million relating to a major off-shore drilling project;
• Acting for Beach Petroleum Limited in the sale of a $123 million interest in the Basker Manta Gummy field to Sojitz Energy Australia Pty Ltd.
• Industrial relations, legal and strategic advice to a major South Australian coal producer and power generation company in relation to the negotiation, preparation and approval of Workplace Agreements and related industrial action.
• Advice to South Australian and Western Australian mining companies on industrial coverage, employment contracts and proposed workplace agreements.
• Representing ALH Group in relation to its acquisition of 5 Saturno Hotel sites and associated businesses.
• Representing the Hurley Hotel Group in relation to the development of the Port Lincoln Hotel.
• Representing the Gunn Hotel Group in relation to the development of the Mawson Lakes Hotel.
• Representing the Club Hotel Group in relation to its acquisition of 6 Scott Elmes Hotel sites and associated businesses.
• Representing the G H Michell Group in the establishment of the Parafield Stormwater and Water Supply Project, a major and innovative environmental works scheme to enable access by industrial users to recycled stormwater and the creation of a permanent wetlands.
• Acting for the Uniting Church at both the Local Government and ERD Court level in respect of all planning and environmental issues associated with the development of its parish at Coromandel Valley.
• Advising and acting for the vendors in the sale of Built Environs to McConnell Dowell.
